Who Can Serve as a Utah Registered Agent

Utah Code § 16-17-203 gives an entity three options for its registered agent:

• A commercial registered agent, meaning a person or company in the professional agent business that has filed a listing statement under § 16-17-204
• A noncommercial registered agent, which can be an individual or a domestic or foreign entity willing to take the role
• The holder of a designated office or position within the company itself, under § 16-17-203(1)(b)(ii)

Note the nuance in that last option. The entity cannot simply name itself as its own agent, but the statute does let it designate whoever holds a stated office or position to receive process on its behalf. In practice, most companies appoint either a commercial agent or a specific qualified individual.

The Address Rule Under § 16-17-202

Any address in a Utah registered agent filing must be an actual street address or a rural route box number located in Utah. A PO box on its own never qualifies, though one may be added after the street address, and an in-state mailing address must be included whenever it differs from the street address.

Chapter 93 of Utah's 2026 General Session repeals the Model Registered Agents Act (Title 16, Chapter 17) and renumbers the LLC act (Title 48, Chapter 3a), both effective October 1, 2026.
